General Terms and Conditions of Sale - ANB RIMEX

§1 Scope of application

Offers and deliveries from AnB-Rimex S.A. are, without exception, subject to these terms and conditions. These also apply to any future transactions, even if not explicitly agreed upon.

§2 Conclusion of contracts

1. Any offer, including price offers, appearing in the various brochures and advertisements is provided for information purposes only and without commitment. Special offers, i.e. detailed offers falling outside the standard price list, are valid for 30 days from the date of issue.

2. By placing an order, the customer enters into a contractual commitment with AnB-Rimex for a period of 30 days from the date AnB-Rimex confirms the order. The contract is concluded as soon as AnB-Rimex confirms the order.

3. Any change, dispute, or addition shall only take effect after written confirmation from AnB-Rimex.

§3 Price

Prices quoted by AnB-Rimex are ex-warehouse Herstal, Belgium.

§4 Delivery

1. Delivery times and conditions, whether mutually agreed or not, must be specified in writing.

2. If AnB-Rimex must delay a planned delivery, the customer must grant an additional period of one month, starting from the day the delay is clearly notified by AnB-Rimex to the buyer.

3. Transport is carried out at the customer's expense and risk. Any complaint must be made upon receipt of the goods (via a note on the delivery slip) and communicated to AnB-Rimex by registered letter.

§5 Payment, late payment, allocation, retention

1. Our prices are expressed in EUR, excluding VAT, unless otherwise stated, ex-warehouse Herstal, Belgium.

If the customer is not subject to VAT, AnB-Rimex will increase the amount payable accordingly (currently 21%).

First delivery: cash on delivery or advance payment. If agreed, payment within 30 days end of month.

2. Bills of exchange and cheques are only valid upon collection. All banking and discount fees, as well as those inherent to the use of bills of exchange and cheques, are borne by the customer.

3. In the event of deferred payment, AnB-Rimex has the right to charge interest on the total amount due, at a rate of 10% per year, without prior notice. Each month begun is counted in full. Interest is immediately due.

4. Any late payment, including delays granted in writing, automatically results in a 10% increase in the amounts due, with a minimum of 130 EURO, in accordance with Articles 1146, 1152, and 1229 of the Belgian Civil Code. Any unpaid invoice at its due date automatically renders all outstanding invoices due. Any collection costs for overdue amounts are borne by the customer.

§6 Property rights

1. Until the full satisfaction of claims owed to AnB-Rimex by the customer, AnB-Rimex retains ownership of the goods delivered, except with regard to all risks relating to said goods (loss, theft, damage, etc.). The customer therefore no longer has the right to use said goods.

2. Should a third party, in particular a bailiff, intervene, the customer must immediately inform them that ownership of the goods reverts by right to AnB-Rimex, and inform AnB-Rimex accordingly without delay.

3. In the event of the customer's non-compliance with the contract, and in particular in the event of late payment, AnB-Rimex has the right to have the goods concerned removed at the customer's expense. The removal or seizure of goods by AnB-Rimex does not constitute confirmation of termination of the existing contract.

§7 Warranty and liability

1. Manufacturing defects are covered by a 2-year warranty.

2. The warranty is limited to the replacement of defective parts, provided that no intervention (repair or modification of the product) has been carried out by a third party not authorized by AnB-Rimex, even during the warranty period.

3. AnB-Rimex declares that it is not liable for any damage resulting from inappropriate use of its products, whether by the customer or any other person, even during the warranty period.

4. In all cases, no obligation shall be considered an obligation of result.

§8 Governing law, jurisdiction

In the event of a dispute, only the courts of Liège (Belgium) have jurisdiction.
